Terms of Service

SCOR Automation LLC · Effective Date: September 18, 2026 · Version 1.1

These Terms of Service (the "Terms") are a binding agreement between SCOR Automation LLC, a Florida limited liability company ("SCOR," "we," "us," or "our"), and the business or individual accessing or using the SCOR Agent service ("Customer," "you," or "your"). By accessing or using SCOR Agent, signing in to the service, or signing an order form or pilot agreement that references these Terms, you agree to be bound by them. If you are using the service on behalf of a company, you represent that you have authority to bind that company.

1. The Service

SCOR Agent is an artificial-intelligence "digital employee" service. We provision for each Customer a dedicated, isolated computing environment that runs an AI agent capable of holding conversations, producing content, working with files, and — only with your authorization — taking actions in third-party applications that you choose to connect (such as email, calendars, and business software) (collectively, the "Service"). AI responses are generated using large language models provided by third-party AI providers (currently Anthropic, PBC and xAI Corp, depending on the service tier you select); voice and video you send may be transcribed by a third-party speech-to-text provider (currently OpenAI), and web data you ask the agent to gather may be retrieved through a third-party data provider (currently Apify). Our Privacy Policy lists all service providers. The Service is a productivity tool for business use; it is not a substitute for professional judgment.

2. Accounts, Eligibility, and Access

  • The Service is offered to businesses and business users. You must be at least 18 years old. The Service is not directed to, and may not be used by, anyone under 18.

  • Access is provided through single-use sign-in links sent to your registered email address. You are responsible for maintaining the security of that email account and for all activity that occurs under your access. Notify us immediately at security@scorautomation.com if you believe your access has been compromised.

  • You agree to provide accurate account information and to keep it current.

3. Your Agent Acts on Your Authority

This section is important. The Service can take actions on your behalf — for example, reading and drafting email, updating calendars, or working within applications you connect. You acknowledge and agree that:

  • Actions the agent takes in your connected accounts are taken under your authority and at your direction, whether given as a standing instruction or as a specific request or approval.

  • Certain higher-impact actions are routed to you for explicit approval before execution. When you approve an action, you are authorizing it as if you performed it yourself.

  • You are responsible for the instructions you give the agent, for the actions you approve, and for reviewing the agent's work product before relying on it or sending it to third parties.

  • You will not instruct the agent to take any action that you would not be legally permitted to take yourself.

4. Connected Third-Party Accounts

  • You choose which third-party accounts to connect. You represent that you own each connected account or have all rights and permissions necessary to connect it and to authorize the agent to act within it.

  • Your use of connected third-party services remains governed by those services' own terms and policies, and you are responsible for complying with them.

  • You may disconnect a connected account at any time from the Connect Apps page in the SCOR Agent web app. Disconnecting stops future agent access to that account.

  • We are not responsible for the acts, omissions, availability, or policy changes of third-party services.

5. AI Outputs — No Guarantee of Accuracy

Artificial intelligence is probabilistic. Output generated by the Service ("Output") may be inaccurate, incomplete, outdated, or offensive, and may not reflect real facts, people, or events, despite appearing confident and well-formed. You agree that:

  • You will independently review and verify Output before relying on it or distributing it, especially for anything involving money, legal obligations, health, employment, or other consequential decisions.

  • Output is not legal, medical, financial, tax, or other professional advice, and no professional-client relationship is created by use of the Service.

  • Similar or identical Output may be generated for other customers; we do not warrant that Output is unique to you.

6. Acceptable Use

You may not use the Service, and may not instruct or permit the agent, to:

  • Violate any applicable law or regulation, or facilitate illegal activity of any kind;

  • Infringe, misappropriate, or violate the intellectual-property, privacy, or other rights of any person;

  • Access accounts, systems, or data that you do not own or lack authorization to access;

  • Generate or distribute unlawful, defamatory, harassing, abusive, or fraudulent content, including impersonation of real persons or organizations, deceptive "deepfake" media, or content presented to third parties as human-authored where doing so is deceptive or unlawful;

  • Send spam or unsolicited bulk communications, or violate anti-spam, telemarketing, or consumer-protection laws;

  • Make automated decisions that produce legal or similarly significant effects on individuals (for example: credit, employment, insurance, housing, or medical decisions) without meaningful human review;

  • Develop weapons; malicious code; or tools designed to compromise the security of any system;

  • Attempt to probe, circumvent, or defeat the Service's security or isolation controls, or use one customer environment to access another;

  • Reverse engineer the Service or underlying models, extract training data, or use the Service to build a competing product; or

  • Resell, sublicense, or share access to the Service without our written agreement.

We may suspend or terminate access immediately if we reasonably believe these rules are being violated, and we may report unlawful activity to authorities where appropriate.

7. Fees and Payment

  • Fees, billing cycle, and any pilot or promotional terms are as stated in your order form, pilot agreement, or published pricing accepted at purchase.

  • Fees are exclusive of taxes; you are responsible for applicable sales and use taxes.

  • We may change pricing with at least 30 days' notice; changes apply at your next billing cycle. Fees already paid are non-refundable except as expressly stated or required by law.

8. Customer Data

  • "Customer Data" means data you submit to the Service, content in your connected accounts that the agent processes at your direction, and files you provide. As between the parties, you own Customer Data.

  • You grant us a limited license to host, process, transmit, and display Customer Data solely to provide, secure, and support the Service, consistent with our Privacy Policy.

  • We do not use Customer Data to train artificial-intelligence models, and our AI providers process it under terms that prohibit training on it.

  • You are responsible for having a lawful basis (including any required notices and consents) for the Customer Data you provide and for the data the agent processes in your connected accounts at your direction.

  • Our collection and handling of personal information is described in the SCOR Agent Privacy Policy, which is incorporated into these Terms.

9. Intellectual Property

  • We and our licensors own the Service, including all software, models' integrations, designs, and documentation. No rights are granted except as expressly stated in these Terms.

  • As between the parties, you own the Output generated for you, to the extent we or our licensors hold any rights in it, subject to the non-exclusivity acknowledgment in Section 5.

  • You grant us the right to use feedback you provide without restriction or obligation.

10. Third-Party Dependencies

The Service depends on third-party providers, including AI model providers, integration platforms, and cloud infrastructure. We select reputable providers and design for resilience, but we are not liable for unavailability, degradation, or policy changes of third-party services. If a provider change materially affects the Service, we will use commercially reasonable efforts to provide a substantially equivalent alternative.

11. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR US $100 IF NO FEES WERE PAID); AND (c) WE ARE NOT LIABLE FOR LOSSES ARISING FROM YOUR RELIANCE ON OUTPUT WITHOUT INDEPENDENT VERIFICATION, FROM ACTIONS YOU DIRECTED OR APPROVED, OR FROM YOUR VIOLATION OF SECTION 6. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, EITHER PARTY'S LIABILITY FOR WILLFUL MISCONDUCT OR FRAUD, OR YOUR INDEMNIFICATION OBLIGATIONS, OR TO ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

13. Indemnification

You will defend, indemnify, and hold harmless SCOR Automation LLC and its members, officers, employees, and agents from and against any third-party claims, and resulting damages, penalties, costs, and reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service in violation of these Terms or applicable law; (b) instructions you give to, or actions you approve for, the agent; (c) Customer Data, including any claim that it was collected or processed without a lawful basis; or (d) your connected accounts, including any claim that you lacked rights to connect them.

14. Confidentiality

Each party may receive non-public information of the other. Each party will use the other's confidential information only as needed to perform under these Terms, protect it with at least reasonable care, and not disclose it to third parties except to service providers under confidentiality obligations, or as required by law with notice where lawful.

15. Term, Suspension, and Termination

  • These Terms apply from your first use of the Service and continue until terminated.

  • Either party may terminate as stated in the applicable order or pilot agreement, or, if none, at any time by written notice; your notice to us may be sent to support@scorautomation.com. Termination takes effect at the end of the then-current billing cycle.

  • We may suspend or terminate immediately for material breach (including Section 6 violations), security risk, non-payment, or legal requirement.

  • Upon termination, your access ends and we will, on request made within 30 days, provide a reasonable export of your Customer Data, after which we may delete it in the ordinary course as described in the Privacy Policy. Sections that by their nature should survive (including Sections 5, 8–14, and 16–17) survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Pinellas County, Florida, before a single arbitrator. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND AGREES THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS OR REPRESENTATIVE ACTION. Either party may seek injunctive relief in a court of competent jurisdiction for misuse of intellectual property or confidential information.

17. General

  • We may update these Terms with at least 30 days' notice for material changes (by email or in-service notice). Continued use after the effective date of changes constitutes acceptance; if you do not agree, your remedy is to stop using the Service and terminate.

  • You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale. These Terms are the entire agreement regarding the Service and supersede prior discussions. If any provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
